Unauthorized Use or Copying - Nothing in this Agreement shall authorize Customer to copy, modify, reproduce, or share any part of the Product, or to utilize said services in any manner except as explicitly provided herein or in accordance with the standard policies of SDE. The product is for the exclusive use of the client only. Any breach of this will result in legal action. “Confidential Information” means all nonpublic information disclosed in oral, written, electronic, or other tangible form or otherwise learned by Recipient under this Agreement which is identified as confidential or would reasonably be understood to be confidential under the circumstances surrounding disclosure. Confidential Information includes, without limitation, information related to Discloser’s products, software, hardware, algorithms, schematics, services, technology, discoveries, developments, methodologies, specifications, manufacturing or operating methods, know-how, business or marketing plans, and business relationships, and any information which, given the totality of the circumstances, a reasonable recipient should have reason to believe is proprietary, confidential, or competitively sensitive.
